NuStream Entertainment LLC Terms & Conditions:

 

The streaming platforms NuStream Live and NuStream Entertainment are owned and operated by NuStream

Entertainment LLC.

​

The following terms and conditions are between the Content Creators, Affiliates, Authorized Representatives,

and NuStream Entertainment LLC for content submitted to NuStream Entertainment LLC or other authorized

platforms.

 

​​Definitions:

 

​​"Content" is all types of content that includes and not limited to: Live shows, recorded shows, films, clips,

documentaries, music, streaming content, podcasts, books, skits, animation, and digital art. The content can

be produced or co-produced in house or submitted by 3rd parties.

 

​"Content Creator" is an individual, group, or organization that owns the rights to the content that is submitted to

NuStream Entertainment LLC to be posted and distributed on the NuStream Entertainment LLC platforms.

 

​​​"Affiliate" is an individual or organization that introduces the Content Creator to an authorized

NuStream Entertainment LLC Representative, supports the Content Creator, and actively manages the process

and the relationship between the Content Creator and NuStream Entertainment LLC.  The Affiliates do not

upload content or distribute revenue sharing proceeds to the Content Creator. The proceeds are

distributed directly to the Content Creator from NuStream Entertainment LLC.

 

​"Authorized Representative" is an individual or an organization that is authorized by the Content Provider to

submit content to NuStream Entertainment LLC and/or receive revenue distributions from NuStream

Entertainment LLC on behalf of the Content Creator. Examples of an Authorized Representative may include

and are not limited to an individual, organization, record label, or a management company.

 

​​​"Investor" is an individual or an organization that has invested funds in NuStream Entertainment LLC.

 

"NuStream Entertainment LLC platforms" are online platforms and/or apps that are owned and operated by

NuStream Entertainment LLC, which includes and are not limited to pay per view platforms, apps, and social

media platforms. In addition, they may include third party platforms approved by NuStream Entertainment LLC.

 

​“PPV” is pay per view.

 

​"VOD" is video on demand.

 

​Content:

 

​The Content Creator will maintain ownership of the content that they produce, own the rights to, and distribute

on the NuStream Entertainment LLC platforms.

​​

The Content Creators, Affiliates and Authorized Representatives agree to hold NuStream Entertainment LLC

and associated 3rd parties harmless from any liability that may arise from copyright infringements of the

content submitted and distributed on the NuStream Entertainment LLC platforms. The content must be original

content created or owned by the Content Creator.

​​​

Pay per view content can be offered exclusively on NuStream Entertainment LLC platforms, or can be offered on

The NuStream Entertainment LLC platforms and other platforms at the same time. The content cannot be

offered on other platforms at a price lower than what is offered on the NuStream Entertainment LLC platforms.

​​

Free content can be offered on other platforms as well as the NuStream Entertainment LLC platforms.

 

If the Content Creator chooses to work with an Authorized Representative or Affiliate, they must designate who

the Authorized Representative or Affiliate is for each piece of content they submit. The Content Creator and

 

Affiliate / Authorized Representative cannot be the same person or organization. NuStream Entertainment LLC

reserves the right to reject any Affiliates or Authorized Representative that are submitted.

The Content Creator agrees to clear all third-party rights prior to submitting the content to NuStream

Entertainment LLC. This is the sole responsibility of the Content Creator and / or Authorized Representative. The

 

Content Creator and / or Authorized Representative agree to hold NuStream Entertainment LLC harmless for

any disputes, damages, injuries, or losses that may occur.

Content that is produced or co-produced by NuStream Entertainment LLC will be owned by NuStream

Entertainment LLC.

​​​

All content submitted to NuStream Entertainment LLC by the Content Creator or Authorized Representative will

be reviewed by NuStream Entertainment LLC prior to the NuStream Entertainment LLC team posting it to the

platform. The content must meet video and audio quality standards as well as performance standards, and

cannot contain excessive violence, nudity, vulgar language, or hate speech.

The Content Creators, Affiliates, and Authorized Representatives guarantee that they will follow all applicable

federal and local laws, including and not limited to civil rights, and discrimination based on sex, race, religion,

age, physical limitations, or national origin for content they create and submit to the NuStream Entertainment

LLC platforms.

​​

The Content Creator, Affiliates, and Authorized Representatives are responsible for all expenses associated with

the creation of their content.

 

​While creating the content, The Content Creators, Affiliates, and Authorized Representatives are responsible for

their own safety and security and agree to hold NuStream Entertainment LLC or any other associated third

parties harmless for any disputes, injuries, damages, or losses. 

​​

If the content is removed, and the Content Creators, Affiliates, or Authorized Representatives are no longer

allowed to do business with NuStream Entertainment LLC, they will still receive their portion of the revenue

sharing for previous content that was distributed on the NuStream Entertainment LLC platforms for a period 6

months per these terms and conditions.

​​

NuStream Entertainment LLC reserves the right to reject any content that is submitted to the NuStream

Entertainment LLC.

 

​NuStream Entertainment LLC reserves the right to remove any content on the NuStream Entertainment LLC

platforms for any reason. 

​​

Promotion & Distribution:

​​​

The Content Creator and / or the Authorized Representative agree to give NuStream Entertainment LLC rights to

promote and distribute the content on the NuStream Entertainment LLC platforms, including social media.

​​

The distribution deal with NuStream Entertainment LLC will be determined for each piece of content. NuStream

Entertainment LLC, the Content Creator or Authorized Representative can choose not to distribute the next

piece of content on the NuStream Entertainment LLC platform. 

​​

The Content Creator, Affiliate, and Authorized Representative grant NuStream Entertainment LLC the full

commercial rights to use the content, a portion of the content, as well as any supporting media, and likeness of

the Content Creator, Affiliate, and Authorized Representative, for any content submitted to the NuStream

Entertainment LLC platforms for promotional purposes.

Although the Content Creator will have the primary responsibility of promoting their content, NuStream

Entertainment LLC will also co-promote the content using various strategies. The strategies will vary depending

on the budget that is available from the Content Creator and NuStream Entertainment LLC.

​ 

Pay Per View Revenue / Revenue Sharing Distribution:

​

​​The Content Creator or Authorized Representative agree that the pay per view content will be offered for a

minimum price of $5.00 for unlimited streams by the customer unless otherwise agreed to in writing by the

Content Creator or Authorized Representative and NuStream Entertainment LLC. Instructional or high demand

content might be offered on the NuStream Entertainment LLC platforms at a higher price.

​​

The Content Creator or Authorized Representative (if applicable) will receive 50% of the PPV revenue on the

NuStreamEntertainment.com VOD platform, and 40% revenue on the NuStreamLive.com live streaming

platform for each piece of their content that is distributed on the NuStream Entertainment LLC

platforms.

 

​​If there is an Affiliate that is actively managing a Content Creator, they will receive 10% of NuStream

Entertainment’s share of the revenue.

 

If you are an investor in NuStream Entertainment LLC that is actively managing a Content Creator, you will

receive a higher % of the NuStream Entertainment’s share of the revenue, to be negotiated by the Investor and

 

NuStream Entertainment LLC. The investor cannot be an Investor and an Affiliate.

 

​​NuStream Entertainment’s share will be used to cover the costs related to the business and earn a profit. Some

of the costs include, and are not limited to, supporting the Content Creator program, supporting the Affiliate

program, running the day-to-day business, covering transaction fees, credit card fees, applicable sales tax,

server fees, optimizing and maintaining the platforms, and supporting the Content Creators.

 

​​It is up to the Content Creator to choose an individual or organization as their Affiliate on each piece of content

that is distributed on the NuStream Entertainment LLC platforms. If an Affiliate is not designated, no payment

will be made to a potential Affiliate. All Affiliates need to be approved by NuStream Entertainment LLC.

 

Choosing an Affiliate is not mandatory.

 

​​​​​It is up to the Content Creator to designate an individual or company as their Authorized Representative in

writing. The Content Creator can terminate the relationship with the Authorized Representative at their

discretion, by notifying NuStream Entertainment LLC is writing.

 

​​​​The Content Creator and Authorized Representative agree that the agreement between NuStream

Entertainment LLC and the Content Creator takes precedence over any agreement that the Content Creator and

Authorized Representative may have between them for business conducted with NuStream Entertainment LLC.

​It is up to the Content Creator to choose an individual or organization as their Authorized Representative. All

potential Authorized Representatives need to be approved by NuStream Entertainment LLC. Choosing an

 

Authorized Representative is not mandatory.

 

​​​​The Content Creator agrees that they need to earn a minimum of $500 in pay per view revenue for a particular

piece of content in that particular month to receive revenue sharing for that particular piece of content. The

intent is to keep the administrative costs down. If the Content Creator does not earn a minimum of $500 in pay

per view revenue per month for 3 months, NuStream Entertainment LLC reserves the right to terminate the

business relationship. The Affiliates will not receive their portion of the gross profit sharing if the Content

Creator does not receive a share of the pay per view revenue sharing distribution.

 

​​If the content is removed, or the Content Creator, Affiliate, or Authorized Representative, is no longer allowed to

do business with NuStream Entertainment LLC, they will still receive their portion of the revenue sharing for

previous content that was distributed on the NuStreamEntertainment.com platform for a period of 3 months.

​

​​​The pay per view revenue sharing will be distributed to the Content Creator or Authorized Representative for

their content that is distributed on the NuStream Entertainment LLC platforms on a monthly basis, by the 20th

of each month for the previous month activity.

 

​The pay per view gross profit sharing will be distributed to the Affiliates for their Content Creators content that is

distributed on the NuStream Entertainment LLC platforms on a monthly basis, by the 20th of each month for the

previous month activity.

​​​

The Authorized Representative will not receive any compensation from NuStream Entertainment LLC. That will

need to be worked out between the Content Creator and the Authorized Representative.

 

​​Content Creators:

​

​The Content Creator must be 18 years or older. If the Content Creator is under 18, a parent or guardian may

submit the content on behalf of the minor. For more information contact us at

​Within these terms & conditions, the Content Creator is under no obligation to continue to have a particular

Affiliate support them. The Affiliate will be determined and designated on a per piece of content basis. It is up to

the Affiliate to provide value by supporting the Content Creator and managing the process. Any disputes will

need to be resolved by the Affiliate and the Content Creator. Outside agreements between the Content Creator

and the Affiliate are strictly prohibited for business conducted with NuStream Entertainment LLC.

 

​The Content Creator cannot also be an Affiliate.

 

​The approval of an individual or organization to become a Content Creator is at the sole discretion of  NuStream

Entertainment LLC. 

 

​​The Content Creator must be in good standing with NuStream Entertainment LLC, and other Content Creators,

Affiliates, Authorized Representatives, Sponsors, and Customers to remain in the program and receive revenue

sharing for future content.

 

​​The Content Creator also agrees to promote each piece of content for other Content Creator’s content and

promote NuStream Entertainment LLC to remain in the program and receive revenue sharing for future content.

 

​Affiliates:

 

​​The Affiliates must be 18 years or older. If the Content Creator is under 18, a parent or guardian may submit the

content on behalf of the minor. For more information contact us at Info@NuStreamEntertainment.com.

 

​The Affiliates must introduce the Content Creator to a NuStream Representative, and actively manage them to

be eligible for the revenue sharing for that particular Content Creator. They also will required to interact with

NuStream Entertainment LLC on a regular basis. Picking someone just to get an additional 10% is not allowed.

 

​The Affiliates must successfully promote content on the NuStream Entertainment LLC platforms within

Affiliate’s network of businesses & individuals to remain in the program.

 

​The Affiliate must be in good standing with NuStream Entertainment LLC, and other Content Creators, Affiliates,

Authorized Representatives, Sponsors, and Customers to remain in the program and receive revenue sharing for

future content.

 

​​The Affiliates cannot upload content or receive revenue sharing on behalf of the Content Creator or Authorized

Representative.

 

​​The approval of an individual or a company to become an Affiliate is at the sole discretion of  NuStream

Entertainment LLC. 

 

​​Authorized Representative:

 

​​The Authorized Representative must be 18 years or older. If the Authorized Representative is under 18, parent or

guardian may submit the content on behalf of the minor. For more information contact us at

​To become an Authorized Representative, an Authorized Representative Agreement supplied by NuStream

Entertainment LLC must be fully executed and submitted to NuStream Entertainment LLC. Contact NuStream

Entertainment LLC at info@NustreamEntertainment.com for more information. 

 

​​​If there is a group of people involved in creating the content (for example: A band), the group must choose an

Authorized Representative (company or individual) who will upload the content and receive their pay per view

revenue sharing distribution. The Authorized Representative could also be a record label or management

company that represents the Content Creator and has a fully executed agreement in place with the Content

Creator. The Authorized Representative will be responsible for uploading the content and distributing the pay

per revenue sharing distributions to the rest of the group. 

 

​​The Authorized Representative will not receive any additional compensation from NuStream Entertainment LLC.

 

The Authorized Representative and the Content Creator will determine how they will split the revenue sharing

that the Authorized Representative receives from NuStream Entertainment LLC. This will not be managed by

NuStream Entertainment LLC and will need to be agreed upon outside of these terms & conditions. 

 

​​The Authorized Representative cannot also be an Affiliate or investor.

 

​​The approval of an individual or a company to become an Authorized Representative is at the sole discretion

of  NuStream Entertainment LLC. 

 

​​General:

 

​​​It is up to the Content Creator, Affiliate, or Authorized Representative to maintain a healthy working relationship

with each other. They will be responsible for handling any disputes. ​If there are legal issues that result because

of the failure of the Content Creator, Affiliate, or Authorized Representative to adhere to these terms and

conditions, that results in legal action against NuStream Entertainment LLC, the Content Creator, Affiliate, or

Authorized Representative will be responsible for all of the costs related to the legal action.

 

​The Content Creators, Affiliates, and Authorized Representatives agree to hold NuStream Entertainment LLC

harmless for any disputes, injuries, damages or losses that have / may occur between the Content Creators,

Affiliates, and Authorized Representatives. 

 

​The Content Creators, Affiliates, and Authorized Representatives, agree to hold NuStream Entertainment LLC

harmless for any disputes, damages, or losses that have / may occur because the information submitted by the

Content Creator or Authorized Representative was inaccurate, misleading, or fraudulent.

 

​Sales tax collection will be the responsibility of NuStream Entertainment LLC for the content posted on the

NuStream Entertainment platforms.

 

​​The Content Creators, Affiliates, and Authorized Representatives must remain in good standing with each other

and the Customers, Sponsors, and NuStream Entertainment LLC, to submit content and receive pay per view

revenue sharing for future content on NuStream Entertainment LLC platforms. The good standing will

determined at the sole discretion of NuStream Entertainment LLC. 

 

​​NuStream Entertainment LLC reserves the right to ban any Content Creator, Affiliate, Authorized

Representative, or Sponsor from doing business with NuStream Entertainment LLC for any reason. There can

only be one individual or organization who is designated as the Authorized Representative or Affiliate

representing the Content Creator. A pyramid structure where pay per view revenue trickles down to other

individual Affiliates or Authorized Representatives is strictly prohibited.

 

​​​The Content Creator, Authorized Representative, and / or Affiliate will be responsible for their own applicable

taxes. The pay per view revenue received on the NuStream Entertainment LLC platforms can be distributed to

an individual or organization who will receive a 1099 form.

 

​The Content Creators, Affiliates, Authorized Representatives, or Sponsors agree to hold NuStream

Entertainment LLC harmless for any malfunction, damages, or losses that may occur on the NuStream

Entertainment LLC platforms that are the result of technical issues, third party intervention, hacking, theft, or

any other reason.

 

​​​It is the responsibility of the Content Creator or Authorized Representative to provide the correct account

information for their financial institution that will receive the distribution of the pay per view revenue sharing

and agree to hold NuStream Entertainment LLC harmless for any disputes, damages, or losses that may occur.

 

​The Content Creator, Affiliates and Authorized Representative, agree to hold NuStream Entertainment LLC

harmless for any malfunction, damages, or losses that may occur during the distribution of the funds to their

financial institution, that are the result of technical issues, third party intervention, hacking, theft, or any other

reason. The Content Creators, Affiliates and / or Authorized Representatives will need to resolve this with their

financial institution, or any other 3rd parties that were involved.

NuStream Entertainment LLC reserves the right to cancel or postpone any event conducted by NuStream

Entertainment LLC. The Content Creators, Affiliates and / or Authorized Representative, agree to hold NuStream

Entertainment LLC harmless if this occurs.

​​

If there is a judgment against NuStream Entertainment LLC, the impacted Content Creators, Authorized

Representatives and / or Affiliates, that were impacted, agree to a maximum payout of $10 for any errors or

omissions that may occur in these terms & conditions.

 

​NuStream Entertainment reserves the right to change these terms and conditions at any time, for any reason.

​The terms and conditions will be updated on a routine basis. It is up to the Content Creator, Affiliates and / or

Authorized Representatives, or Sponsors to review the terms and conditions prior to submitting each piece of

content.

 

​The Content Creators, Affiliates, and Authorized Representatives must agree to these terms and conditions to

distribute content and participate in the revenue sharing programs at NuStream Entertainment

LLC.​
